Service Agreement & Non-Disclosure Policy

Welcome to Guinness Press Inc.

This Service Agreement & Non-Disclosure Policy ("Agreement") outlines the terms and conditions under which Guinness Press Inc. ("we," "our," or "us") provides publishing-related services to authors ("you," "your," or "client"). By engaging with our services, you acknowledge that you have read, understood, and agreed to the following terms.

1. Scope of Services

Guinness Press Inc. offers professional services including:

  • Book Editing & Proofreading
  • Book Design & Formatting
  • Marketing & Promotional Campaigns
  • Book Printing & Distribution Assistance

All services are provided for an upfront cost, with pricing determined by the selected package or promotional campaign. Each package clearly lists the deliverables included. Additional services or requests outside the agreed package may require separate approval and billing.

Excluded Services:

  • Third-party advertising or distribution fees not included in your package
  • Paid ads on external platforms (unless specified in your plan)
  • Any service not explicitly listed in your package agreement

2. Publishing, Distribution & Marketing Roles

Guinness Press Inc. provides professional support and marketing services. We are not a literary agent or publisher of record.

Our Responsibilities:

  • Assisting in editing, formatting, and preparing your manuscript for publishing
  • Advising on marketing strategies and campaign execution (per selected plan)
  • Facilitating printing and distribution connections with bookstores, online vendors, and third-party platforms where applicable

Your Responsibilities as the Author:

  • Providing complete and accurate manuscript content
  • Cooperating in revisions, feedback, and marketing coordination
  • Participating in promotional efforts as required

Important Note: Results may vary depending on genre, audience engagement, platform algorithms, and collaborative promotional efforts.

3. Royalties & Revenue

Guinness Press Inc. does not guarantee sales, revenue, or ranking performance.

  • All royalties generated from book sales belong to the author, excluding:
    • Platform service fees (e.g., Amazon KDP, IngramSpark, Barnes & Noble, etc.)

4. Payment Terms & Refund Policy

4.1 Payment Schedule

All services require full payment upfront before work commences. Payment must be completed through our secure payment system.

4.2 Refund Policy

Refunds are only available under the following circumstances:

  • Before Work Begins: 100% refund if requested within 24 hours of payment and before any work has commenced
  • Service Not Delivered: Full refund if we fail to deliver the agreed services within the specified timeframe
  • Quality Issues: Partial refund may be considered if services do not meet agreed standards, after reasonable attempts to resolve issues

No refunds will be provided for completed work that meets the agreed specifications.

5. Intellectual Property Rights

5.1 Author's Rights

You retain full ownership and copyright of your original work. We do not claim any ownership rights to your intellectual property.

5.2 Our Rights

We retain rights to any original content, designs, or materials we create specifically for your project, unless otherwise agreed in writing.

5.3 Third-Party Content

You are responsible for ensuring all content you provide does not infringe on third-party rights. We are not liable for any copyright or intellectual property violations in your submitted materials.

6. Confidentiality & Non-Disclosure

6.1 Confidential Information

Both parties agree to maintain strict confidentiality regarding:

  • All manuscript content and unpublished materials
  • Business strategies and marketing plans
  • Financial information and payment details
  • Any other proprietary information shared during the course of our relationship

6.2 Non-Disclosure Obligations

Neither party shall disclose confidential information to third parties without written consent, except as required by law or to fulfill the terms of this agreement.

6.3 Duration

Confidentiality obligations continue indefinitely, even after termination of this agreement.

7. Service Delivery & Timelines

7.1 Delivery Schedule

We will provide estimated delivery times for each service. While we strive to meet all deadlines, delivery times are estimates and not guaranteed.

7.2 Delays

We are not liable for delays caused by factors beyond our control, including but not limited to:

  • Client delays in providing required materials or feedback
  • Third-party platform issues or changes
  • Force majeure events

7.3 Revisions

Reasonable revisions are included in our service packages. Excessive revision requests may incur additional charges.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for the specific service in question
  • We are not liable for indirect, incidental, or consequential damages
  • We make no guarantees regarding sales performance, rankings, or revenue generation
  • You acknowledge that publishing success depends on many factors beyond our control

9. Termination

9.1 Termination by Client

You may terminate this agreement at any time with written notice. Refunds will be handled according to our refund policy.

9.2 Termination by Us

We may terminate this agreement immediately if:

  • You breach any terms of this agreement
  • You fail to make required payments
  • You engage in fraudulent or illegal activities

9.3 Effect of Termination

Upon termination, all outstanding payments become immediately due, and confidentiality obligations continue as specified.

10. Dispute Resolution

10.1 Good Faith Negotiation

Any disputes will first be addressed through good faith negotiation between the parties.

10.2 Mediation

If negotiation fails, disputes will be resolved through binding mediation before pursuing legal action.

10.3 Governing Law

This agreement is governed by the laws of the State of Wyoming, United States.

11. General Provisions

11.1 Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

11.2 Amendments

Any amendments must be made in writing and signed by both parties.

11.3 Severability

If any provision of this agreement is found to be invalid, the remaining provisions will remain in full force and effect.

11.4 Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond their reasonable control.

13. Acceptance of Terms

By engaging our services or making a payment, you acknowledge that you have read, understood, and agree to be bound by this Service Agreement & Non-Disclosure Policy. If you do not agree with any part of this agreement, please do not use our services.
